Welcome to frogfishconsulting.com (the “Site”), operated by FrogFish Consulting, a trade name of Kosher Share LLC (“FrogFish Consulting,” “we,” “us,” or “our”). These Terms do not create, and shall not be interpreted as creating, any client relationship or any obligation by us to provide services. 8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL FROGFISH CONSULTING, KOSHER SHARE LLC, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total aggregate liability arising out of or relating to these Terms or your use of the Site will not exceed one hundred U.S. dollars ($100), or the amount you paid us in the twelve (12) months preceding the claim, whichever is greater.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above may not apply to you.

9. Indemnification

You agree to indemnify, defend, and hold harmless FrogFish Consulting, Kosher Share LLC, and their respective officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your access to or use of the Site; (b) your violation of these Terms; (c) your violation of any law or the rights of any third party; or (d) any content you submit through the Site.

10. Modifications to the Site and These Terms

We reserve the right to modify, suspend, or discontinue the Site or any portion of it at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation.

We may also update these Terms from time to time. When we do, we will revise the “Effective Date” at the top of this page. Material changes will be communicated through the Site or by other appropriate means. Your continued use of the Site after changes take effect constitutes your acceptance of the updated Terms.

11. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict-of-laws principles.

Any dispute arising out of or relating to these Terms or your use of the Site will be resolved exclusively in the state or federal courts located in Los Angeles County, California, and you consent to the personal jurisdiction of those courts.

You and we agree that any claim or cause of action arising out of or relating to these Terms or the Site must be filed within one (1) year after the claim arose, or be permanently barred.

12. Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions will remain in full force and effect.

13. Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of that right or provision. No waiver of any term will be deemed a continuing or further waiver of that term or any other term.

14. Entire Agreement

These Terms, together with our Privacy Policy and any separate written agreements between you and us, constitute the entire agreement between you and us regarding your use of the Site and supersede all prior or contemporaneous understandings.
